Practice Areas
Our key practice areas

Mergers and Acquisitions
We advise buyers, sellers, founders and investors on acquisitions and disposals of shares, businesses and assets. Our work covers transaction structuring, due diligence, commercial terms, transaction documents, signing, completion and post-completion integration.
Our work often continues after completion. We advise on acquisition integration, including how an acquired business is reorganised or amalgamated within a wider group, and transitional arrangements. Where founders or principals remain involved after a sale, we address continuing roles, governance, incentives and other arrangements that shape the next phase of the business.

Corporate
We advise companies, founders, family enterprises and investors on day-to-day and strategic corporate matters, including Singapore expansion and entity / group structuring and establishment, governance arrangements, board and shareholder matters, joint ventures, corporate and group restructurings and Singapore expansion.
On investment and financing transactions, we work with companies raising capital and investors providing it. Our work includes equity and venture capital investments, venture financings, bridge financings, together with the related investment and shareholder documentation.

Commercial Contracts
We advise on the full range of B2B and B2C documents and commercial arrangements that support how a business operates, sells, procures, collaborates and grows. This includes customer and supplier terms, services, supply, distribution, agency, licensing, procurement, outsourcing, partnerships and other bespoke agreements.
For global corporates establishing or expanding their presence in Singapore, we handle the legal work from setting up the Singapore entity to localising the commercial and legal documents needed for local operations. These include employment agreements, commercial contracts, privacy policies and related internal policies, prepared with clear risk allocation and practical use in mind.

Employment
We advise across the employment lifecycle, which includes employment and consultancy arrangements in global teams, incentives and workplace policies, organisational restructurings, performance management, internal investigations, dismissals and post-termination obligations, workplace discrimination, fair employment practices and collective agreements. When an employment issue gives rise to a dispute, we help clients assess their position and decide how to respond. Such matters may involve wrongful dismissal, alleged discrimination, breaches of duty or confidentiality, restrictive covenants or negotiated exits. If a matter proceeds to mediation or a tribunal, we advise on the legal position and support preparation throughout.

Regulatory and Compliance
We advise companies operating in regulated environments, including healthcare, life sciences, food and consumer products, on licensing, approvals, regulatory compliance, investigations, data protection, cybersecurity and anti-bribery and anti-corruption matters.
When a contractual or regulatory obligation is breached, or a data or other compliance incident occurs, we help clients manage the immediate response and what follows. This may involve assessment and containment, notifications, communications with regulators and other stakeholders, remediation and longer-term compliance. For novel issues, we work with clients to determine a response that takes the legal, operational, commercial and reputational implications into account.
