Terms of Use
These Terms of Use (the "Terms") apply to your access to and use of www.elixlaw.com and the pages, publications, briefings, articles, newsletters, presentations, data, graphics, downloads and other materials made available through it (together, the "Website" and "Content"). The Website is operated by Elix Law LLC (UEN: 202610002K), a Singapore entity with its principal office at 2 Central Boulevard, #32-00, Singapore 018916 (the "Firm", "we", "us" or "our").
These Terms state the conditions on which the Firm makes the Website available. Where the Website displays an "I agree" control, you accept these Terms by selecting it. Otherwise, use of the Website is permitted only subject to these Terms; if you do not agree, do not use the Website.
These Terms govern the public informational pages of the Website and general Website use. Accounts, paid services, event registrations, recruitment applications, client portals, online tools and other transactions may be governed by additional terms presented for the relevant feature. If those additional terms conflict with these Terms, the additional terms prevail for that feature. Legal services are governed by separate written engagements under section 3.
1. General information; no legal advice
The Content is provided for general information only. It does not constitute legal, regulatory, tax, financial or other professional advice and should not be treated as a substitute for advice on the facts of a particular matter. Laws and practices change, and information may not reflect the law or circumstances applicable to you.
You should obtain advice from an appropriately qualified professional before acting, refraining from acting or making a decision based on the Content. You remain responsible for how you use the Website and Content.
2. No solicitor-client relationship; communications
Nothing on the Website is an offer to provide legal services. Accessing the Website, receiving a publication, subscribing to an update or communicating with the Firm does not by itself create a solicitor-client relationship or oblige the Firm to act or respond. The Firm acts only after completing its applicable acceptance, conflict and other required checks and confirming the engagement in writing on agreed terms. An automated acknowledgement confirms receipt only; it is not acceptance of an engagement or any other transaction.
Do not send confidential, privileged, time-critical or sensitive information through a general Website form or public email address. Existing clients should use the communication method agreed for their engagement. Sending information before the Firm confirms an engagement does not preserve any limitation period or other deadline and may not prevent the Firm from acting for another person. The Firm will handle information in accordance with the legal and professional duties that apply to it and will handle personal data as described in its Privacy Policy.
3. Separate terms for legal services
Any legal or other professional services provided by the Firm are governed by the applicable engagement letter and any terms expressly incorporated into it. These Terms do not amend or limit such an engagement. If there is an inconsistency, the engagement terms prevail in relation to the services covered by them.
4. Accuracy, currency and availability
The Content is general information only. Law, practice and circumstances change, and Content may not reflect the latest developments or your circumstances. Before acting or refraining from acting, obtain advice appropriate to your matter and verify relevant current sources. Nothing in this section qualifies any requirement under applicable professional-conduct rules that publicity about the Firm or its practitioners be accurate, verifiable and not misleading.
Subject to section 9, we do not warrant that the Website will always be available, uninterrupted, compatible with every device or browser, or free from error, harmful code or security vulnerabilities. You should use appropriate security precautions.
5. Intellectual property and permitted use
Nothing in these Terms restricts any fair use or other permitted use to the extent that the restriction would be invalid under sections 186 or 187 of the Copyright Act 2021, including any qualifying computational-data-analysis use under section 244.
Unless otherwise indicated, the Website and Content are owned by, licensed to or controlled by the Firm and are protected by copyright, trade mark and other intellectual-property laws. Rights in material reproduced or quoted from third parties remain with their respective owners.
We grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access the Website and to view, print or download a reasonable number of copies of Content for your lawful personal or internal business use, provided that you do not remove proprietary notices and do not suggest that the Firm endorses you, your organisation or your use.
Except as permitted by this section, by an express Website function, by law or with our prior written consent, you must not:
copy, modify, republish, distribute, transmit, sell, license, commercially exploit or create derivative works from any material part of the Website or Content;
subject to the statutory savings above, systematically collect or extract Content, create a database from Content, or use Content to develop, train, fine-tune, test or validate a machine-learning or other artificial-intelligence system, except through an express Website function or with the Firm's prior written permission;
use our name, logo or trade marks, or frame the Website, in a way that is misleading or suggests an association or endorsement; or
remove or alter any copyright, trade mark, attribution or other proprietary notice.
6. Acceptable use
You must comply with applicable law and must not use, or attempt to use, the Website to:
commit, encourage or facilitate an unlawful, fraudulent, misleading, defamatory, abusive, harmful or infringing act;
introduce malware or other harmful code, interfere with the Website, impose an unreasonable load, or bypass an access, authentication, rate-limit or security control;
gain unauthorised access to any system, account, data or restricted area;
scan, probe, penetrate, load-test, circumvent or otherwise test the security of any system unless the Firm has given prior written authorisation identifying the specific systems, methods and period covered and you comply with all applicable rules of engagement. Publication of a vulnerability-reporting address or policy does not by itself authorise testing;
use automated means to access or interact with the Website except for ordinary search-engine indexing that complies with robots.txt, does not bypass access controls and does not impose an unreasonable load, or as otherwise expressly authorised by the Firm or required by law;
collect contact details or other information for unsolicited marketing or another unauthorised purpose;
upload, post or transmit material that you do not have the right to use or that infringes another person's rights; or
misrepresent your identity or affiliation, or use the Content in a way that is likely to mislead others about its source, date or status.
If you encounter a suspected vulnerability without testing or exploiting it, report it promptly to general@elixlaw.com. Do not access, copy, alter or delete data or disrupt any service.
7. Links and third-party services
The Firm does not control or endorse a third-party site merely by linking to or embedding content from it. Third-party sites are governed by their own terms and notices. Subject to section 9, the Firm is not responsible for their availability or content.
You may link to a publicly available page of the Website in a fair and lawful way. You must not frame the Website, bypass access controls, link from unlawful or misleading content, misrepresent or defame the Firm, falsely suggest affiliation, approval or endorsement, or use our marks without permission. We may ask you to remove a link that does not comply with these Terms.
8. Changes, suspension and withdrawal
We may change, suspend, restrict or withdraw any part of the public informational Website or Content, and may restrict access where reasonably necessary for security, maintenance, legal compliance, protection of rights or suspected breach of these Terms. We do not promise that any particular Content or feature will remain available. This section does not affect an obligation under a legal-services engagement or additional feature terms, or any right accrued before suspension or withdrawal.
The Firm may amend these Terms prospectively. Each version will state its effective date and last-updated date. A change does not affect rights or obligations accrued before its effective date.
9. Disclaimers and limitation of liability
Except as expressly stated in these Terms and subject to the mandatory liabilities below, the Website and Content are provided on an "as is" and "as available" basis. The Firm does not warrant that the Website will always be available, uninterrupted or free from error.
Subject to the next paragraph, and only to the extent permitted by law, the Firm is not liable for any indirect or consequential loss, or for loss of profit, revenue, business opportunity, goodwill, anticipated savings or data to the extent that such loss is indirect or consequential, arising out of or in connection with access to, use of, inability to use or reliance on the Website or Content.
Nothing in these Terms excludes or restricts liability for fraud or fraudulent misrepresentation; death or personal injury resulting from negligence; any liability under a separate written engagement except to the extent lawfully limited by that engagement; any duty imposed by applicable professional-conduct or data-protection law to the extent it cannot be excluded; or any other liability that cannot lawfully be excluded or restricted. Every exclusion or restriction applies only to the extent it is fair and reasonable where the law requires.
Nothing in these Terms excludes or restricts any consumer right or remedy that cannot lawfully be excluded or restricted.
10. Privacy and cookies
The Firm's Privacy Policy at https://www.elixlaw.com/privacy-policy explains how it collects, uses, discloses and protects personal data. The Privacy Policy's cookie policy explains the use of cookies and similar technologies. Those notices are statements of the Firm's data-handling practices and may be updated separately; they are not incorporated into these Terms unless expressly stated. Nothing in these Terms limits any right or obligation under applicable data-protection law that cannot lawfully be limited.
11. General
If any provision of these Terms is found to be unlawful, invalid or unenforceable, it will be treated as modified to the minimum extent necessary to make it valid and enforceable. If that is not possible, it will be severed. The remaining provisions continue in effect.
A delay or failure by us to exercise a right does not waive that right. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any provision of these Terms.
12. International use and mandatory rights
The Website is controlled and operated from Singapore. The Firm does not represent that the Website or Content is appropriate or lawful in every jurisdiction. If you access it outside Singapore, you are responsible for laws that apply to you, and the Firm remains responsible for laws that apply to it. Nothing in these Terms excludes any mandatory right or protection that applies despite these Terms.
13. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by Singapore law. Subject to any mandatory law or right that cannot lawfully be excluded, the courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Website.
